These Terms of Service ("Terms", "Terms of Service") constitute a legally binding agreement between you ("you", "your", or "User") and Clear Mornings LLC ("Clear Mornings", "we", "us", or "our"), governing your access to and use of the Clear Mornings website, mobile application, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using the Service in any manner, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms of Service, which constitute a valid and legally binding contract between you and Clear Mornings.

1.2 Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that you have permission from your parent or legal guardian to use the Service and that they have reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these age requirements.

1.3 Agreement on Behalf of Organization

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.

1.4 Electronic Acceptance

Your electronic acceptance of these Terms (by clicking "I Agree," checking a box, creating an account, or using the Service) constitutes your signature and agreement to be bound by these Terms as if you had physically signed a written agreement.

2. Service Description

2.1 Overview

Clear Mornings is a comprehensive wellness and habit tracking platform that provides:

  • Habit Tracking System: Create and monitor habits across our Trinity System (Recovery, Exercise, Nutrition) with customizable templates, progress tracking, and analytics
  • AI-Powered Affirmations: Receive personalized daily affirmations generated by artificial intelligence based on your selected authors and personal growth intentions
  • Nutrition Tracking: Log meals, scan product barcodes, track macronutrients (protein, calories), and access food databases
  • Progress Monitoring: Upload photos, track streaks, and view detailed analytics
  • Gamification Features: Earn points, unlock levels, and celebrate milestones
  • Author Collections: Curate portable lists of favorite authors and thinkers for use across features
  • Trainer Services and SMS Communications: Connect with certified Clear Mornings trainers, receive optional SMS one-time verification codes for account sign-in and sign-up, and (if separately enabled) receive SMS messages from your trainer. SMS-specific terms are set out in Section 17 and on our SMS Terms page

2.2 Service Tiers

Clear Mornings offers two subscription tiers:

  • Advanced analytics and insights
  • Full history access

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service, except as required by law.

2.4 Beta Features

From time to time, we may offer beta or experimental features ("Beta Features"). Beta Features are provided "AS IS" and may contain bugs, errors, or other issues. We may discontinue Beta Features at any time without notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account by providing accurate, current, and complete information, including a valid email address. You may authenticate using OAuth providers (Google, GitHub, Apple), email magic links, or your mobile phone number with an SMS one-time verification code. SMS verification is governed by Section 17 of these Terms and our SMS Terms. You agree to keep your account information up to date.

3.2 Account Security

You are solely responsible for:

  • Maintaining the security of your account and authentication methods
  • All activities that occur under your account, whether authorized by you or not
  • Immediately notifying us at support@clearmornings.com of any unauthorized access to or use of your account

We will not be liable for any loss or damage arising from your failure to comply with these account security requirements.

3.3 Account Integrity

You agree that you will NOT:

  • Create an account using false or misleading information
  • Create multiple accounts for yourself (except as specifically permitted by us)
  • Sell, transfer, or allow others to access your account
  • Use another User's account without permission
  • Share your account access with any third party

3.4 Account Suspension

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or are using the Service in a manner that may cause harm to us, the Service, or other users.

4. Subscription Plans and Billing

4.1 Subscription Offerings

Clear Mornings offers paid subscription plans on a monthly or annual basis. Current pricing is as follows:

Monthly Billing

  • Premium: $3.99 per month
  • Premium+: $9.99 per month

Annual Billing (Save 17%)

  • Premium: $39.99 per year
  • Premium+: $99.00 per year

4.2 Free Trial (If Applicable)

If we offer a free trial period, you will not be charged during the trial period.

CALIFORNIA & FTC COMPLIANCE:

If you start a free trial, we will notify you no less than three (3) days and no more than seven (7) days before the end of your free trial period that your paid subscription will begin if you do not cancel. The notification will be sent to the email address associated with your account and will include the subscription price, frequency of charges, and instructions for canceling.

4.3 Express Affirmative Consent to Automatic Renewal

IMPORTANT: BY SUBSCRIBING TO A PAID PLAN, YOU EXPRESSLY AUTHORIZE AND CONSENT TO THE FOLLOWING:

a) Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current subscription price, unless you cancel your subscription before the end of the current billing period.

b) Subscription Terms You Are Consenting To:

  • Your subscription will continue and automatically renew until you cancel it
  • You will be charged the subscription fee stated at the time of purchase
  • Charges will recur at the frequency you selected (monthly or annually)
  • Payment will be processed using the payment method on file with our payment processor, Stripe
  • You can cancel at any time using the methods described in Section 4.8 below
  • Cancellation will take effect at the end of your current billing period

c) Authorization to Charge

By providing your payment information and clicking "Subscribe," you authorize Clear Mornings and our payment processor, Stripe, to charge your payment method the recurring subscription fee, plus any applicable taxes, at the beginning of each billing period.

4.4 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"), a third-party payment processor. By providing payment information, you represent and warrant that:

  • You are authorized to use the payment method provided
  • You authorize us to charge all subscription fees to that payment method
  • You will maintain valid payment information on file

You agree to comply with Stripe's Services Agreement available at https://stripe.com/legal.

4.5 Pricing Changes

We reserve the right to change our subscription prices at any time. Price changes will not affect your current subscription period. If we increase the price of your subscription, we will provide you with at least thirty (30) days' advance notice via email before the price change takes effect.

4.6 Billing Errors

If you believe you have been incorrectly charged, please contact us at support@clearmornings.com within sixty (60) days of the charge. We will investigate and, if appropriate, issue a refund or credit.

4.7 Taxes

All fees are exclusive of applicable sales tax.

For Texas residents:

Sales tax of 8.25% will be applied to 80% of your subscription price as required by Texas law (Texas Tax Code § 151.0101).

4.8 Cancellation Policy

a) How to Cancel

You may cancel your subscription at any time through one of the following methods:

  • Online: Log into your account, navigate to Settings → Subscription, and click "Cancel Subscription"
  • Email: Send a cancellation request to support@clearmornings.com
  • Customer Support: Contact us at support@clearmornings.com

CALIFORNIA COMPLIANCE:

You can cancel your subscription using the same medium through which you subscribed (online). We do not require you to call a phone number, engage in live chat, or take any steps that obstruct or delay your ability to terminate your subscription.

b) Effect of Cancellation

Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Your subscription will not renew for the next billing period
  • You will not be charged any further subscription fees
  • Your account will automatically downgrade to the Basic (free) tier at the end of the billing period

c) No Partial Refunds

Cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for partial subscription periods, except as required by law or at our sole discretion.

4.9 Refund Policy

a) General Policy

All subscription fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

b) Exceptions

We may, at our sole discretion, provide refunds or credits in the following circumstances:

  • Technical issues that prevent you from accessing the Service for an extended period
  • Duplicate charges due to billing errors
  • Charges made after you properly canceled your subscription
  • As required by applicable consumer protection laws

c) Requesting a Refund

To request a refund, contact us at support@clearmornings.com within thirty (30) days of the charge with a detailed explanation of your request.

5. Intellectual Property Rights

5.1 Clear Mornings Ownership

The Service, including all content, features, functionality, software, code, algorithms, user interface, design, graphics, logos, trademarks, and service marks (collectively, the "Clear Mornings IP") is owned by Clear Mornings LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Service for your personal, non-commercial use
  • Download and use our mobile application on devices you own or control
  • Access content made available through the Service

5.3 Restrictions

You agree NOT to:

  • Copy, modify, create derivative works from, or publicly display any part of the Service
  • Use automated systems (bots, scrapers, crawlers) to access the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to develop a competing product or service

6. User Content and Data

6.1 Your Content

You retain ownership of all content, information, and data you create, upload, or otherwise provide through the Service ("User Content"), including:

  • Personal information (name, email, profile details)
  • Habit tracking data (check-ins, progress entries, streaks)
  • Nutrition logs (food entries, meal photos, calorie tracking, macronutrient data)
  • Affirmation preferences and custom primers
  • Progress photos
  • Custom primers for affirmation generation
  • Author collections and lists

6.2 License Grant to Clear Mornings

By submitting User Content to the Service, you grant Clear Mornings a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:

  • Store, process, and display your User Content as necessary to provide the Service to you
  • Use your User Content to generate personalized affirmations, nutrition insights, and habit recommendations
  • Create anonymized, aggregated data and analytics that do not identify you personally
  • Backup and secure your User Content for disaster recovery and security purposes

IMPORTANT:

This license exists solely to enable us to operate the Service and provide features to you. We do NOT claim ownership of your User Content and will NOT sell, share, or publicly display your User Content except as necessary to provide the Service or as required by law.

6.3 No Sale of Your Personal Data

We do not sell your personal data to third parties. Your habit logs, nutrition data, and other personal information belong to you and will be handled in accordance with our Privacy Policy.

6.4 Trainer Instructional Videos

Verified trainers may attach a short instructional video to an exercise, either by linking a third-party video (such as a YouTube link) or by uploading their own clip. An attached video is shown only to that trainer's own clients.

If you are a trainer and you upload a clip, you represent and warrant that you own it or have all rights necessary to share it, and the license in Section 6.2 applies to that clip so we can store and display it to your clients. You must not upload or link content that is unlawful, infringing, deceptive, harassing, sexually explicit, or that demonstrates unsafe activity.

When a trainer links a YouTube video, it is shown using the YouTube embedded player. By using this feature you agree to be bound by the YouTube Terms of Service. Our use of YouTube's services is described further in our Privacy Policy.

Any member can report an attached video using the in-app Report control. We may remove any attached video that is reported or that we determine, in our discretion, violates these Terms or our Acceptable Use Policy (Section 8), at any time and without prior notice.

7. AI-Generated Content

7.1 Nature of AI-Generated Affirmations

Clear Mornings uses artificial intelligence technology to generate personalized affirmations based on:

  • Your selected author collections
  • Your custom primer text (your personal growth intentions)
  • Historical quotes and wisdom from documented sources

7.2 No Copyright in AI-Generated Content

IMPORTANT LEGAL NOTICE:

Under current United States copyright law, content generated solely by artificial intelligence without substantial human authorship is not eligible for copyright protection. Accordingly:

  • AI-generated affirmations are NOT copyrighted by Clear Mornings
  • AI-generated affirmations are NOT copyrighted by you
  • No party can claim exclusive copyright ownership in purely AI-generated affirmations

7.3 Restrictions on AI-Generated Content

You agree NOT to:

  • Claim authorship or copyright in AI-generated affirmations
  • Resell, redistribute, or commercially exploit AI-generated affirmations
  • Republish or display AI-generated affirmations on other platforms in a manner that suggests you created the content
  • Use AI-generated affirmations to train other AI models or develop competing services

7.4 No Accuracy Guarantee

AI-generated affirmations are created by machine learning models and may contain errors, inaccuracies, or content that is factually incorrect, improperly attributed, or not reflective of an author's actual views.

We make no representations or warranties regarding the accuracy, reliability, completeness, or authenticity of AI-generated affirmations.

8. Acceptable Use Policy

8.1 Permitted Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Personal habit tracking and wellness monitoring
  • Logging nutrition and fitness activities
  • Receiving and viewing AI-generated affirmations
  • Accessing your own User Content and account data

8.2 Prohibited Uses

You agree NOT to use the Service to:

  • Engage in any illegal activity or violate any laws
  • Harass, abuse, threaten, or intimidate other users
  • Use automated scripts, bots, scrapers, or other automated means to access the Service
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or its networks
  • Exploit bugs or vulnerabilities for your benefit
  • Upload viruses, malware, or other malicious code

8.3 Consequences of Violation

If you violate this Acceptable Use Policy, we may:

  • Issue a warning
  • Suspend access to the Service temporarily
  • Terminate your account permanently without refund
  • Take legal action, including seeking damages and injunctive relief
  • Report violations to law enforcement

9. Privacy and Data Protection

9.1 Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Third-Party Services

We use third-party service providers to operate and improve the Service, including:

  • Supabase (database and authentication)
  • Vercel (hosting and infrastructure)
  • Stripe (payment processing)
  • OpenAI / Anthropic (AI affirmation generation)
  • OpenFoodFacts (nutrition data)

9.3 Data Security

We implement appropriate technical and organizational measures to protect your personal data. However, no internet transmission or electronic storage method is 100% secure, and we cannot guarantee absolute security of your data.

10. Disclaimers and No Medical Advice

CRITICAL DISCLAIMER - PLEASE READ CAREFULLY:

Clear Mornings is a wellness and habit tracking application. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. The Service does not provide medical, health, nutritional, or fitness advice, and nothing in the Service should be construed as such.

10.1 Not Medical Advice

The content provided through the Service, including AI-generated affirmations, nutrition insights, habit recommendations, food data, and progress analytics, is for informational and motivational purposes only and is not intended to:

  • Diagnose, treat, cure, or prevent any disease or medical condition
  • Replace or substitute for professional medical advice, diagnosis, or treatment
  • Serve as medical, nutritional, or fitness advice

10.2 Consult Healthcare Professionals

ALWAYS CONSULT WITH A QUALIFIED HEALTHCARE PROFESSIONAL before:

  • Starting any new diet, nutrition program, or eating plan
  • Beginning any exercise or fitness program
  • Making changes to your medications or treatment plans
  • Relying on nutrition data or macronutrient tracking for medical purposes

10.3 Nutrition Data Accuracy

Nutrition data (calories, protein, carbohydrates, fats, vitamins, minerals) provided through the Service is sourced from third-party databases and may be inaccurate, incomplete, or out of date.

YOU ARE SOLELY RESPONSIBLE for verifying the accuracy of nutrition data if you are using it for medical, dietary, or health purposes.

10.4 Not HIPAA-Covered

Clear Mornings is NOT a HIPAA-covered entity or business associate under the Health Insurance Portability and Accountability Act (HIPAA). We do not share health data with healthcare providers, medical professionals, or HIPAA-covered entities.

10.5 Service Provided "AS IS"

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEAR MORNINGS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Personal injury or property damage
  • Emotional distress or mental anguish
  • Any other intangible losses

11.1 Cap on Liability

THE TOTAL LIABILITY OF CLEAR MORNINGS TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF:

  • The total amount you paid to Clear Mornings in the twelve (12) months preceding the event giving rise to liability, or
  • One hundred U.S. dollars ($100.00)

12. Indemnification

You agree to indemnify, defend (at our option), and hold harmless Clear Mornings LLC from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Service in violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any User Content you submit, post, or transmit through the Service
  • Any activity that occurs under your account

13. Term and Termination

13.1 Termination by You

You may terminate your account and stop using the Service at any time by:

  • Logging into your account and deleting your account through Settings
  • Contacting us at support@clearmornings.com with a deletion request
  • Canceling your paid subscription (if applicable)

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time and for any reason, including but not limited to:

  • Your breach of these Terms
  • Your violation of applicable laws or regulations
  • Fraudulent, abusive, or illegal activity
  • Extended inactivity (e.g., no use for 24+ months)

13.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service terminates immediately
  • All active subscriptions will be canceled
  • Your User Content will be deleted or anonymized within ninety (90) days
  • You may request an export of your data before termination

14. Changes to These Terms

14.1 Right to Modify

We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion.

14.2 Notice of Changes

If we make material changes to these Terms, we will provide you with at least thirty (30) days' advance notice by:

  • Sending an email to the address associated with your account
  • Posting a prominent notice on the Service
  • Requiring you to accept the new Terms upon your next login

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles.

15.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Travis County, Texas, and you irrevocably consent to the personal jurisdiction and venue of such courts.

15.3 Informal Resolution

Before filing any legal action, you agree to first contact us at support@clearmornings.com and attempt to resolve the dispute informally. If a dispute is not resolved within sixty (60) days, you or Clear Mornings may initiate formal proceedings.

15.4 Time Limitation on Claims

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim arose, or it will be permanently barred.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clear Mornings regarding your use of the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

16.5 Electronic Communications

By using the Service, you consent to receive electronic communications from us. You agree that any notices, agreements, or other communications sent electronically will satisfy any legal communication requirements.

16.6 California Users

If you are a California resident, in accordance with Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

17. SMS Programs and Communications

17.1 Programs Offered

Clear Mornings operates two SMS messaging programs:

  • Account Verification (One-Time Codes): When you sign up, sign in, or change your phone number, we send a one-time verification code (OTP) to confirm ownership of the number. Codes expire within five (5) minutes, never include marketing content, and are sent only in response to an active request from you.
  • Trainer Communication: If you connect with a Clear Mornings trainer, you may separately opt in to receive SMS from your trainer, including workout reminders, program updates, and check-ins. Trainer SMS is optional and can be disabled at any time from your account settings or by replying STOP to any message.

17.2 Consent

By entering your phone number and tapping "Send code," you provide express consent to receive a verification code via SMS from Clear Mornings. Separate, in-app consent is captured before any trainer SMS is sent. Your consent is not a condition of purchasing any goods or services.

17.3 Carrier Charges

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Check with your mobile carrier for details about your plan's SMS charges.

17.4 Opt-Out and Help

Reply STOP to any Clear Mornings SMS message to unsubscribe from that program. Reply HELP to receive support information. You may also revoke SMS consent at any time from your account settings inside the Clear Mornings app.

17.5 SMS Service Provider

We use Twilio Inc. as our SMS service provider to deliver messages on our behalf. Twilio processes your phone number and message content solely to transmit SMS and is contractually prohibited from using this data for any other purpose. No mobile information is shared with third parties or affiliates for marketing or promotional purposes.

17.6 Full SMS Terms

The complete, binding terms for our SMS programs — including program-specific frequency, eligibility, and changes — are set out at SMS Terms. SMS-specific data practices are described in Section 13 of our Privacy Policy.
